Vendor Terms
Since your platform Whatsapp Cloud acts as a "Vendor" providing a software interface for Meta's API, these Vendor Terms and Conditions are designed to define the relationship between you (the Service Provider) and the businesses (the Users) using your tool.
This document protects you from legal liability if Meta changes its rules or if a user’s account gets banned.

These Vendor Terms and Conditions (“Agreement”) are entered into between Whatsapp Cloud (“Vendor,” “we,” “us,” or “our”) and the entity or individual subscribing to our services (“User,” “you,” or “your”). By using our platform, you agree to the following:
1. Scope of Service
Whatsapp Cloud provides a Software-as-a-Service (SaaS) dashboard designed to facilitate the management of the WhatsApp Cloud API.
The Vendor provides the interface and tools (Analytics, Bulk Messaging, Chatbots, Webhook management).
The actual messaging infrastructure is provided and controlled by Meta Platforms, Inc.
2. Relationship of Parties
Independent Contractor: The Vendor is an independent software provider. We are NOT an agent, partner, or official representative of Meta or WhatsApp Inc.
Third-Party Dependency: You acknowledge that our service depends entirely on the availability and functionality of the WhatsApp Cloud API.
3. User Obligations & Compliance
As a condition of using our service, you agree to:
Official API Rules: Comply with the WhatsApp Business Solution Terms and WhatsApp Commerce Policy.
Opt-In Requirements: Ensure that all recipients of your messages have explicitly "opted-in" to receive communication from your business.
Account Security: Maintain the security of your System User Access Tokens and Phone IDs. The Vendor is not liable for unauthorized access due to User negligence.
4. Fees, Billing, and Meta Charges
Subscription Fees: You agree to pay the Vendor the fees associated with your chosen plan for the use of the Whatsapp Cloud dashboard.
Meta Conversation Charges: You acknowledge that Meta charges separately for "Marketing," "Utility," "Authentication," and "Service" conversations. These charges are billed directly by Meta to your Meta Business Manager account and are not included in the Vendor’s subscription fee.
5. Anti-Spam & Fair Usage Policy
The Vendor strictly prohibits the use of our platform for:
Sending unsolicited bulk messages (Spam).
Promoting illegal products, adult content, or gambling.
Impersonating other brands or individuals.
Penalty: If we detect a high "Block Rate" or "Report Rate" on your account, the Vendor reserves the right to suspend your access immediately without a refund.
6. Limitation of Liability
The Vendor shall not be held liable for:
Account Bans: Any suspension or permanent banning of your WhatsApp Business Account (WABA) by Meta.
Service Interruptions: Downtime caused by Meta’s API maintenance or global WhatsApp outages.
Data Loss: Any loss of message history or customer data resulting from API errors beyond our control.
7. Intellectual Property
The "Whatsapp Cloud" name, logo, and dashboard code are the exclusive property of the Vendor. Users are granted a limited, non-transferable license to use the platform during their subscription period.
8. Termination
By User: You may cancel your subscription at any time via the dashboard.
By Vendor: We reserve the right to terminate this agreement if you violate Meta's policies or fail to pay subscription fees.
9. Modifications to Service
The Vendor reserves the right to modify features or pricing of the Whatsapp Cloud platform to adapt to changes made by Meta to the Cloud API infrastructure.
10. Governing Law
